Terms and Conditions.

1 Program Acceptance and Denial

We reserve the right, at our sole and absolute discretion, to approve or deny any application to the Partner Program. Acceptance is not guaranteed and may be based on factors including but not limited to social media presence, content quality, vehicle ownership, audience relevance, and brand alignment. We are not liable for any decision to approve or deny an application, to the maximum extent permitted by law. We are under no obligation to provide a reason for denial.

2 Partner Tiers

The Program operates on a tiered structure. Your tier determines your personal discount on RB Innovations products, your commission rate, and your eligibility for additional benefits. Tier placement is determined by RB Innovations at the time of acceptance and may be adjusted at any time based on performance, activity, and contribution to the brand.

The current tier structure is as follows:

• Crew - 10% personal discount
• Affiliate - 15% personal discount, 10% referral commission
• Ambassador - 20% personal discount, 10% referral commission

Tiers and their associated benefits are outlined on our Partner Program page and may be updated from time to time at our discretion.

3 Affiliate Links and Referrals

Upon acceptance, you will be assigned a unique affiliate referral link. Depending on your tier and arrangement, you may also be assigned a personalised discount code for tracking purposes. Not all affiliates will receive a code, and the availability of codes is at the discretion of RB Innovations. Your affiliate link tracks referrals to our store. If a customer clicks on another affiliate's link and subsequently clicks on yours before making a purchase, your referral will be credited.

Affiliates are encouraged to promote RB Innovations products across social media platforms including but not limited to Instagram, TikTok, YouTube, and Facebook, as well as through personal blogs, forums, and print media.

4 Personal Partner Discount

As a partner, you will receive a personal discount for your own purchases on RB Innovations products based on your assigned tier. This discount is strictly for personal use on your own vehicle and build. It is non transferable and must not be shared with, or used on behalf of, any other individual.

Misuse of your personal discount, including purchasing products at a discounted rate for the purpose of reselling, will result in immediate removal from the Program and forfeiture of any unpaid commissions.

5 Commissions and Payouts

You will earn a commission on qualifying orders placed through your unique affiliate link. Commission is calculated as a percentage of the order value and does not include taxes, shipping costs, or any additional fees. Commission rates are determined by your assigned tier and may be updated by RB Innovations at any time.

You must configure your payment details within your affiliate dashboard to receive payouts. Commissions are paid out monthly via bank transfer for balances that have reached a minimum of $50 AUD. If your balance has not reached the $50 threshold, it will carry over to the following month. Payouts are processed within the first 14 days of each month for the previous month's confirmed sales.

Commissions will only be paid on transactions that have been fully completed and confirmed. Orders that are cancelled, refunded, or result in a chargeback are not eligible for commission. If a commission has already been paid out on an order that is subsequently refunded, cancelled, or charged back, RB Innovations reserves the right to deduct the corresponding amount from future payouts or, where necessary, recover the amount directly.

RB Innovations reserves the right to review and audit any and all conversions under a fair usage policy. We may temporarily withhold payouts while investigating suspected fraud, policy breaches, self referrals, or any other misuse of the Program. Commission status can be viewed in the Conversions tab of your affiliate dashboard, and all completed payouts will be listed in the Payouts tab.

6 Content Requirements

Partners are expected to create and publish content featuring RB Innovations products within 30 days of receiving any parts purchased at a partner discount. Content should be of a high standard and may include but is not limited to install videos, before and after photos, unboxing content, vehicle reviews, reels, stories, and professional photography.

All content must tag @rb_innovations on the relevant platform and, where possible, invite us as a collaborator so we can feature your content. Failure to meet content obligations may result in a tier reduction or removal from the Program.

7 Content Usage Rights

By participating in the Program and creating content featuring RB Innovations products, you grant RB Innovations a royalty free, perpetual, worldwide, non exclusive licence to use, reproduce, modify, and display that content for marketing, advertising, social media, and promotional purposes. This includes but is not limited to reposting on our own channels, featuring content on our website, and using content in paid advertising. You will be credited where reasonably practical.

8 Performance and Product Claims

Affiliates must not make technical, performance, safety, engineering, or compliance claims about RB Innovations products unless those claims have been explicitly approved by RB Innovations in writing. This includes but is not limited to claims about weight savings, strength, heat resistance, aerodynamic performance, power gains, or regulatory compliance. All product descriptions used in your content should be consistent with the information provided on our website or in our official marketing materials.

Misleading or unsubstantiated claims may result in immediate removal from the Program.

9 Brand Exclusivity

While active in the RB Innovations Partner Program, you agree not to promote, represent, or act as an affiliate or ambassador for any competing carbon fibre brand or supplier. Collaborations with non competing automotive brands, detailing companies, wrap studios, and other complementary businesses are permitted and encouraged.

If you are unsure whether a brand conflicts with this policy, contact us before entering into any arrangement.

10 Independent Contractor Status

Affiliates act as independent contractors and are not employees, agents, joint venture partners, or legal representatives of RB Innovations. Nothing in these Terms creates an employment relationship, partnership, or agency arrangement between you and RB Innovations. You are solely responsible for your own taxes, expenses, and obligations arising from your participation in the Program.

Affiliates have no authority to bind, represent, make commitments, or enter into agreements on behalf of RB Innovations under any circumstances.

11 Cookie Tracking

Referrals are tracked using browser cookies. When a customer clicks your affiliate link, a tracking cookie is set for the duration specified in your affiliate dashboard. During this cookie period, any purchase made by that customer on our website will be attributed to you and will generate a commission.

We cannot track or credit referrals from users who have cookies disabled, use private browsing, or clear their cookies before completing a purchase. RB Innovations is not responsible for lost referrals due to cookie related issues beyond our control.

12 Marketing Resources

From time to time, we may provide promotional materials through your affiliate dashboard, including banners, logos, product images, and collection specific promotions. You may download these materials or use any provided embed codes to distribute them through your affiliate channels. All marketing materials remain the intellectual property of RB Innovations and must be used in a manner consistent with our brand guidelines.

You must not alter, distort, or modify any RB Innovations logos, branding, or visual assets in any way. You must not present yourself as an official dealer, distributor, or authorised reseller of RB Innovations products unless expressly agreed in writing.

13 Network and Downline Affiliates

If the network feature is enabled, you may invite others to join the Program as your downline affiliates by sharing your unique network referral link. If a downline affiliate successfully refers an order, you will receive a network commission as determined by our settings. You are responsible for ensuring that anyone you invite to the Program is made aware of these Terms and Conditions.

14 Prohibited Activities

As a partner, you agree not to:

• Use spam, unsolicited messages, bulk messaging, or misleading communication to promote RB Innovations products
• Misrepresent your relationship with RB Innovations or claim to be an employee, owner, or official representative of the brand
• Host, publish, or associate RB Innovations with any illegal, offensive, discriminatory, or harmful content
• Use cookie stuffing, click fraud, or any other deceptive tracking method to inflate referrals or commissions
• Purchase products through your own affiliate link for the purpose of earning commission on your own orders
• Bid on RB Innovations, rb-innovations.com.au, or any variations or misspellings of our brand name or domain in paid search advertising
• Run paid advertisements that misrepresent you as an official representative of RB Innovations
• Direct paid advertising traffic to our website or use our domain as a display URL without prior written consent
• Attempt to capture or divert organic search traffic intended for RB Innovations through paid advertising or SEO manipulation
• Resell any products purchased using your personal partner discount
• Make any technical, performance, safety, or compliance claims about products that have not been approved by RB Innovations

Violation of any of these terms may result in immediate account termination and forfeiture of all unpaid commissions without notice.

15 Tier Reviews and Program Changes

RB Innovations reviews partner activity on a quarterly basis. Partners who are inactive, fail to meet content obligations, or no longer align with our brand values may be moved to a lower tier or removed from the Program entirely. Where reasonably practical, we will notify you before making changes to your tier or removing you for inactivity, but we are not obligated to do so.

We reserve the right to modify, suspend, or discontinue the Partner Program at any time, including changes to commission rates, tier structures, discount percentages, and program benefits. Active partners will be given reasonable notice of any significant changes where possible.

16 Termination

You may request to leave the Partner Program at any time by contacting us at riley@rb-innovations.com. Upon termination, whether initiated by you or by RB Innovations, your affiliate link and discount codes will be deactivated, your personal partner discount will be revoked, and any outstanding commission balance that meets the $50 AUD minimum will be paid out in the next scheduled payout cycle. Commissions below the minimum threshold at the time of termination will be forfeited.

Upon termination, you must immediately remove all affiliate links, referral codes, RB Innovations branding, logos, and any other references to the Program from your social media, websites, and any other platforms. Continued use of RB Innovations branding or affiliate materials after termination is a breach of these Terms.

17 Indemnification

You agree to indemnify, defend, and hold harmless RB Innovations, its owners, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your participation in the Program, your marketing activities, your content, any breach of these Terms, or any misrepresentation or misleading conduct on your part.

18 Limitation of Liability

RB Innovations shall not be held liable for any indirect, incidental, or consequential damages arising from your participation in the Program. Our total liability in connection with the Program shall not exceed the total commissions earned by you in the 12 months preceding any claim. We make no guarantees regarding the volume of sales, commissions, or any other financial outcome from participation in the Program.

19 Privacy and Advertising Compliance

Affiliates must comply with all applicable privacy, data protection, consumer protection, and advertising laws and regulations when promoting RB Innovations products. This includes but is not limited to the Australian Consumer Law, the Spam Act 2003, and any applicable advertising standards. Where required by law or platform policy, affiliates must clearly disclose their affiliate relationship with RB Innovations in their content (for example, using #ad, #partner, or similar disclosures).

20 Force Majeure

RB Innovations shall not be liable for any delays, failures, or interruptions in the Program caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, shipping delays, acts of war, or any other force majeure events. In such cases, our obligations under the Program will be suspended for the duration of the event.

21 Modifications to Terms

We reserve the right to update or modify these Terms and Conditions at any time. Any changes will be communicated through your affiliate dashboard or via email. Continued participation in the Program following any changes constitutes your acceptance of the revised Terms.

22 Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable, or removed entirely if modification is not possible.

23 Entire Agreement

These Terms constitute the entire agreement between you and RB Innovations regarding your participation in the Program. They supersede all prior discussions, agreements, or representations, whether written or verbal. No amendment to these Terms will be binding unless made in writing by RB Innovations. Informal communications such as direct messages, emails, or verbal conversations do not override or modify these Terms unless expressly confirmed in writing by RB Innovations.

24 No Waiver

The failure of RB Innovations to enforce any provision of these Terms at any time does not constitute a waiver of that provision or any other provision. RB Innovations retains the right to enforce any and all provisions of these Terms at any time, regardless of any previous failure or delay in enforcement.

25 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Western Australia, Australia. Any disputes arising from or related to the Program shall be subject to the exclusive jurisdiction of the courts of Western Australia.
